These Terms & Conditions ("Terms") govern your access to and use of Digi Spin & Loyalty ("the App"), a Shopify application operated by Digielicit Infotech Pvt. Ltd. ("AppStudio", "we", "us"). By installing or using the App, you agree to these Terms.

1. Eligibility

The App is offered to merchants with an active Shopify store and a valid Shopify account. You must be authorized to bind your business to these Terms and comply with Shopify's terms of service and acceptable use policies.

2. Description of service

The App provides loyalty program features (points, tiers, rewards, referrals) and, on eligible plans, spin wheel gamification, storefront widgets, notifications, and optional mobile API access. Features vary by subscription plan and merchant configuration.

3. Subscription and billing

  • Paid plans are billed monthly through the Shopify Billing API unless otherwise stated in the app listing.
  • Free trials, if offered, convert to a paid subscription unless you cancel before the trial ends through Shopify Admin.
  • Plan changes (upgrade or downgrade) take effect according to Shopify's billing rules. We do not provide refunds — see our Refund Policy.
  • Failure to pay may result in suspension or loss of access to paid features.

4. Merchant responsibilities

As a merchant using the App, you agree to:

  • Configure loyalty rules, spin wheel offers, and notifications in compliance with applicable laws (including marketing consent, consumer protection, and gambling or promotion rules in your jurisdiction).
  • Provide accurate privacy disclosures to your customers and honor data subject requests in line with our Privacy Policy.
  • Use the App only for lawful purposes and not to harass, defraud, or mislead customers.
  • Maintain the security of your Shopify admin account and any API keys or webhook URLs you configure.

5. Customer data

You retain ownership of customer data processed through the App. We process such data on your behalf to deliver the service, as described in our Privacy Policy. You are the data controller for end-customer data; we act as a processor where applicable.

6. Intellectual property

The App, its code, branding, and documentation are owned by AppStudio or its licensors. You receive a limited, non-exclusive, revocable license to use the App while your subscription is active. You may not reverse engineer, resell, or sublicense the App.

7. Third-party services

The App integrates with Shopify and may connect to third-party notification or hosting providers you configure. We are not responsible for third-party outages, pricing, or terms.

8. Availability and support

We strive for reliable uptime but do not guarantee uninterrupted service. Maintenance, Shopify platform changes, or force majeure may cause temporary disruption. Support is available at support@app-studio.in during reasonable business hours.

9. Disclaimer of warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. We do not warrant specific business outcomes (e.g. increased sales or retention).

10. Limitation of liability

To the maximum extent permitted by law, AppStudio shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the App shall not exceed the fees you paid us for the App in the twelve (12) months preceding the claim.

11. Termination

You may uninstall the App at any time through Shopify Admin. We may suspend or terminate access if you breach these Terms or if required by Shopify. Upon termination, your license ends and data handling follows our Privacy Policy and Shopify compliance webhooks.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the App after changes constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles. Disputes shall be subject to the exclusive jurisdiction of courts in India, unless mandatory consumer protection laws in your jurisdiction require otherwise.
